Tradeable Listing Approval for Curacao International Holdings

DCSX has approved on August 24, 2020, the tradeable listing of 31,376,408 shares of Curacao International Holdings N.V. (DCSX Symbol: CWIN) with an initial market capitalization of USD 10,708,764.08. Amergeris Global Listing And Exchange Services the mandated Listing Advisor.

The Company has been incorporated under the laws of Curacao as a public limited liability company, or a Naamloze Venootschap (NV) on May 25, 2020.  The Company has been formed to invest in, lending to, and acquiring interests in companies, businesses that satisfy its investment mandate. The main focus of Curacao International Holdings N.V. is as a structured debt provider to established private or public cash-flowing corporations.

The Company aims to become the leader in providing innovative, efficient capital solutions to established cash-flowing businesses active in the technology, health, industrial, real estate, consumer, consumables, agriculture, and ancillary industries, that are past the development stage. By its flexible and innovative structure, it focuses on providing growth capital. Furthermore, it leverages its management team’s knowledge of operations and corporate finance to provide growth capital to corporations with a 12-36-month time horizon.

Curacao International Holdings N.V. is a Curaçao Based Holding Corporation. Through its wholly-owned subsidiary Open Field Capital PLC (“Open Field”), headquartered in Curaçao, will focus on lending to cash flowing and rapid growth SMEs. Open Field will also undertake investments and/or financing in North America through its wholly-owned subsidiary Green Capital Financial Group Corporation LTD (“Green Capital”), located in Vancouver, British Columbia, Canada. This happens to be a significant Canadian venture capital, incubator, and start-up hub.

The Company has developed three basic tenets that define its current view on the business strategy and its execution:

  • Capitalize on high market demand
  • Leverage its knowledge of public markets to facilitate access to public capital and liquidity
  • Apply its revenue model: interest spread, advisory services, and warrant participation and liquidity events

The Company provides structured capital solutions to corporations that may face challenges accessing traditional growth financing for the following reasons:

  • Conventional debt financing is difficult for the majority of small and medium-sized businesses (SMBs) to access
  • SMBs are largely ignored by the large, dominant investment banks
  • Traditional equity financing entails high cost and long completion horizons
  • SMB owners/stakeholders resist seeking equity financing due to dilution/control concerns.

The Company focuses on corporations operating in technology, health, industrial, real estate, consumer, consumables, agriculture, and ancillary industries, that are past the development stage.

The Company provides efficient access to capital in the following manner. It first identifies opportunities and reviews the business model and category. It then performs a comprehensive internal due diligence review and produces a term sheet. The final stages include legal and accounting review, approval, and closing.
The innovative solutions provided by the Company serve to address complex issues. The funding is used for:

  • Equipment upgrades and equipment financing
  • Acquisition capital
  • Sales and marketing campaigns
  • Purchase order financing
  • Capacity/project financing
  • Special situations/Distress assets financing

In comparison to traditional equity funding, the Company offers upside performance through the issuance of warrants and/or royalties from clients. Furthermore, the Company has an internal due diligence team. The debt financing is secured by assets, and this offers a much more limited dilution impact.
